Wakely AI Ltd provides artificial intelligence and automation solutions to businesses. Our services include:

• Integration Services: Seamless integration of AI solutions with existing business systems, platforms, and third-party applications
• Support and Maintenance: Ongoing technical support, system maintenance, updates, and optimization services for deployed AI solutions

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with or without notice.

As a user of our services, you agree to:

• Provide accurate, current, and complete information when creating accounts or using services
• Maintain the security and confidentiality of your account credentials
• Use our services only for lawful purposes and in accordance with these Terms
• Comply with all applicable laws, regulations, and third-party agreements
• Promptly notify us of any unauthorized use of your account or security breaches
• Ensure that your use of our services does not interfere with other users' access

You agree not to use our services to:

Violation of this policy may result in immediate termination of your access to our services.

Payment terms will be specified in your service agreement or invoice. General payment terms include:

• All fees are due and payable according to the payment schedule specified in your agreement
• Payments must be made in the currency specified in your invoice
• Late payments may incur additional fees and interest charges
• We reserve the right to suspend services for non-payment
• Refunds, if applicable, will be processed according to our refund policy
• You are responsible for all taxes associated with your use of our services

All intellectual property rights in our services, including but not limited to software, algorithms, designs, trademarks, and content, remain the exclusive property of Wakely AI Ltd or our licensors.

• You are granted a limited, non-exclusive license to use our services as intended
• You may not copy, modify, distribute, or create derivative works from our services
• Any custom solutions developed for you remain our intellectual property unless otherwise agreed
• You retain ownership of your data and content provided to our services
• You grant us a license to use your data solely for providing and improving our services

Our services are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Guarantees of uninterrupted, error-free, or secure service operation
• Accuracy, completeness, or reliability of AI-generated content or recommendations

To the maximum extent permitted by law, our liability is limited to the amount paid by you for our services in the twelve months preceding the claim. We shall not be liable for indirect, incidental, special, or consequential damages.

Either party may terminate this agreement with appropriate notice as specified in your service agreement. We may terminate your access immediately if:

• You violate these Terms or our Acceptable Use Policy
• You fail to make required payments
• We reasonably believe termination is necessary to protect our interests or other users

Upon termination, your right to use our services will cease immediately. We may retain your data according to our data retention policies and legal requirements.

These Terms of Service are governed by and construed in accordance with the laws of Saudi Arabia, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Saudi Arabia.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
